1. Definition

This agreement ("Agreement") is by and between Mediaparts Interactive S.A, ("we" or "us" and "our" shall be construed accordingly) and you ("referral partner", "referrer", "affiliate" or "you" and "your" shall be construed accordingly) as an online Affiliate in our Referral Program (the "Program") regarding the establishment of links ("Link" or "Referral Link" shall be construed accordingly) from your affiliate web site ("your site" or "Affiliate site") to our web site(s):

www.page-flip.com (or "page-flip.com");

www.page-flip-tools.com (or "page-flip-tools.com").

Referral Links will set a cookie on the computer of the person who clicks on your Referral Link. That cookie will have a 3-days expiration time. You will earn referral fees only when that cookie is present on the machine of a customer when they place an order.

2. Our Responsibilities

We shall be responsible for providing all information necessary to allow you to make appropriate Referral Links from your site to our site. We shall be solely responsible for processing every order placed by a customer following a special Link from your site to our site, for tracking the volume and amount of sales generated by your site, and for providing information to you regarding sales statistics via our reporting platform. We shall be responsible for order entry, payment processing, shipping, cancellations, returns, and related customer service.

We shall provide the referrer with approved links that can be used for the purpose of referring customers to our website(s).

3. Referrer Responsibilities

You can use only approved Links which contain a special tracking URL.

You agree to NOT SEND UNSOLICITED or SPAM email to promote our products. This action is ground for immediate termination of your account with a cancellation of any pending commissions.

You must not place referral links on adult content sites, sites that display adult banners, warez sites, or any other sites that promote: sexually explicit material or violence, discrimination based on race, sex, religion, national origin, and physical disability, illegal activities. Do not apply to our Referral Program if your Web site promotes these activities. By applying to our program, you are stating that your web site does not directly promote or endorse these activities.

4. Referral Fee Payment

Commissions are calculated on the final amount of the sale, after deducting merchant processing fees. Only products that we choose to offer through our websites that are sold by us, purchased by users linking to our site from your site (as an approved referral partner), delivered to a customer, for which we have received full payment, shall qualify for a referral fee payment. If a chargeback or refund is required by a customer, we'll discount the corresponding commission payment from referral fee payment.

Mediaparts Interactive S.A. will pay "Referral Partner" a 25% commission of each qualifying product sale identified as a visitor from Affiliate site by using their Referral Link. We reserve the right to change the commission structure for any product.

When the total referral fee payment(s) due to you exceeds your specified minimum payout level, at the end of any calendar month, will pay you by making a payment to the your PAYPAL account. A minimum amount of commission totaling $200 is required for any payment.

Only one commission will be paid per product sale. i.e., if a visitor comes to our site from more than one Referral Partner Web site over a period of time before purchasing, only the FIRST Referral Partner shall receive the commission. Also the commission applies only to the first sale made by Referred customer. Commissions are not paid on subsequent sales to the same customer.

The referrer will not receive commission on purchases made by the referrer himself/herself.

It is the referrer's sole responsibility to declare any income to the respective authorities in his/her country of residence.

5. Agreement Modification

We may modify any of the terms and conditions contained in this Agreement at any time at our sole discretion by posting a change notice or new version of the Agreement on our site. Terms may be changed or updated at any time, but you shall be able to find the most recent version on our website. If any modification is unacceptable to you, your only recourse is to terminate this agreement.
